The following terms and conditions (the “Subscriber Terms”) apply when you subscribe to a paid subscription service with Hackerlink Limited or any of its affiliate and related entities, including a DoraHacks BUIDL AI subscription (which includes BUIDL AI 2.5, BUIDL AI 3.0, BUIDL AI 4.0, and an equivalent version for hackathon organizers) (the “Subscription” or “Subscription Services”). By subscribing, you consent to these Subscriber Terms in full.
Use of the Subscription Services are also subject to the DoraHacks Terms of Service, the DoraHacks Code of Conduct, and our Privacy Policy (collectively, the “Terms of Service”). All capitalized terms in these Subscriber Terms have the same meaning as set forth in the Terms of Service, except as otherwise noted herein.
Please read the Subscriber Terms carefully. If you do not agree with or accept any part of these Subscriber Terms, you should not sign up for any Subscription Service.
IMPORTANT ARBITRATION NOTICE: IF YOU ARE IN THE UNITED STATES OR CANADA, YOU AGREE THAT DISPUTES BETWEEN YOU AND DORAHACKS WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. THE ENFORCEABILITY OF SUCH ARBITRATION SHALL BE GOVERNED UNDER THE FEDERAL ARBITRATION ACT.
1. Subscription Services & Conditions.
1.1(a) Subscription Services.
DORAHACKS BUIDL AI: A subscription to BUIDL AI enables you, the subscriber, to access premium paid content driven by artificial intelligence (“Subscription Content”), including certain other contributions from DoraHacks participants or creators (“Participating Creators”). Subscription Content is deemed “Our Content and Materials” under the Terms of Service. All rights, title, and interest in a Subscription (including any Subscription Content) not expressly granted to you in these Subscriber Terms are strictly reserved by DoraHacks, the Participating Creators, their respective licensors and/or their affiliates where applicable.
A DoraHacks BUIDL AI subscription grants subscribers access to a suite of premium tools developed to support the end-to-end lifecycle of hackathon management. The subscription is designed to significantly enhance the efficiency, scalability, and quality of hackathon operations on the DoraHacks platform, with the long-term vision of enabling fully autonomous hackathons and hackathon communities. This allows hackathon owners or organizers to focus on creativity, communication, incubation, and other high-value tasks that support the growth of their project or ecosystem. In general, the following features are currently contemplated as Subscription Content under the DoraHacks BUIDL AI, which may include the following features although they are subject to change and/or removal at any time at our sole discretion:
- Advanced BUIDL/Project Scoring, which provides an in-depth assessment of BUIDL/Project submissions across multiple dimensions.
- Hackathon Summary, which generates a publication-ready report in multiple languages summarizing your hackathon, key statistics, and introduce all winning BUIDLs.
- BUIDL Auto Review, which automates the submission approval process by applying user-defined score thresholds to determine acceptance or rejection and you will get notified in real time.
- Source Code Review, which analyzes and summarizes code structure and quality of BUIDLs.
- BUIDL Plagiarism Check, which helps avoid plagiarism.
- Hackathon Kickstarter, which enables faster hackathon creation by providing content recommendations and inspiring subscribers with creative hackathon ideas.
- Telegram Notifications, which deliver updates on hackathon activities and daily performance summaries via the Telegram platform.
- Hackathon Helper, which includes chat and interactive features such as automated reminders, recommendations, redirecting certain actions, other automatic organizing features, etc.
- Hackathon Planning Automation, which helps with planning multiple hackathons and generating relevant content based on the organization’s goals.
- Automatic Hackathon Q&A, which provides reference information and guidance for all users.
- Organization Knowledge Base, which provides each organization with broad functionality over the maintenance and customization of their own knowledge base.
- Future Features including chat functions, ideation tools, and more to be decided at the sole discretion of DoraHacks.
1.1(b) Binding Terms with respect to BUIDL AI 4.0 (The DevRel AI System) and other products where relevant.
BUIDL AI 4.0 aims to introduce enhanced project management and communication capabilities through the BUIDL Hub functionality. This includes planned features such as (although they are subject to change and/or removal at any time at our discretion):
- BUIDL Hub Management: Freely plan and situate BUIDLs within centralized hubs and organize them into customizable groups
- Goal Setting and Tracking: Establish objectives for BUIDL groups and receive automated progress monitoring
- Automated Communication: Enable BUIDL AI to communicate directly with project teams via email and chatbot interfaces
- Progress Reporting: Receive chronological logs and group-level summaries of project activities and developments
- Usage-Based Billing: Purchase packages in increments of certain number of BUIDLs, with the ability to add or remove packages based on actual usage
There are Acceptable Use Requirements where any use or subscription of BUIDL AI 4.0 is subject to the following mandatory requirements at all times:
Good Faith Conduct: You must interact respectfully and deal fairly in good faith at all times in a respectful and harmless manner. Violation of this requirement may result in immediate service termination without refund.
Anti-Spam and Code of Conduct Compliance: Organizations and their representatives must not engage in spam activities when contacting BUIDLs. All interactions must comply with the DoraHacks Code of Conduct available at https://dorahacks.io/legal/code-of-conduct. Breach of these requirements may result in immediate service termination without refund.
Legal and Ethical Use: You may not use the Subscription Services to: (i) Attack, harass, or unlawfully acquire personally identifiable information from other users, (ii) Infringe upon the intellectual property rights of BUIDLs or any third parties, (iii) Achieve illegal, fraudulent, or otherwise prohibited objectives, or (iv) Engage in any activity that violates applicable laws or regulations
AI Communication and Data Handling: BUIDL AI 4.0 may initiate automated communications with project teams on your behalf. In this respect, you hereby acknowledge and agree that:
- Uncontrolled AI Responses: We cannot control or predict all AI-generated communications. You assume full responsibility for any consequences arising from AI interactions with project teams, even when erroneous or inaccurate.
- Information Disclosure: Any information you provide to the system, and any information obtained through AI communications, may be accessed and used by us and our affiliates at our discretion. We hold no responsibility in this regard.
- User Responsibilities for AI Interactions: If BUIDL AI communications are perceived as irrelevant, time-wasting, confidential, or otherwise problematic by recipients, you agree to hold us harmless and acknowledge that we bear no responsibility whatsoever for such interactions.
Data Access and Confidentiality. By using BUIDL AI 4.0, you acknowledge and agree at all times that:
- Broad Data Access: We will have access to all information inputted into the system, including but not limited to internal roadmaps, goals, strategic thinking, communications, follow-up plans, timelines, development pipelines, introductions, ecosystem building strategies, and potentially internal infrastructure details.
- No Liability for Data Use: We shall not be liable for accessing, knowing about, or using any information provided through the system. You agree to hold us harmless from any losses arising from such data access or use.
- No Confidentiality Obligations: We assume no confidentiality obligations regarding information shared through the platform, except as may be required by applicable privacy laws.
System Reliability and Performance. BUIDL AI 4.0 is subject to continuous development and improvement. You acknowledge and agree that:
- No Warranty of Performance: We make no warranties regarding system uptime, accuracy, or performance. The system may experience bugs, glitches, disruptions, or function in unintended ways.
- Limitation of Liability for System Issues: We shall not be responsible or liable for any system disruptions, malfunctions, errors, or unintended functionality that may affect your use of the services.
- Right to Modify: We reserve the right to modify, update, or discontinue any features of BUIDL AI 4.0 at any time without prior notice.
Usage-Based Billing for BUIDL AI 4.0. BUIDL AI 4.0 operates on a usage-based billing model and you agree to our package structure as set out in the relevant page(s).
1.2 Conditions.
Your access and use of Subscription Services is subject to the following conditions:
- Receipt by DoraHacks of timely payment of any Subscription fees. As described in Section 2, you will not have access to Subscription Services if you cancel or fail to pay for a Subscription, including if your payment method becomes invalid.
- You will maintain adequate security measures for your account and may not share your account password and details with someone else to allow them to access the Subscription. The Subscription Services are not transferable.
- Except as permitted by DoraHacks at its sole discretion, you may not sell, rent, sub-license, lend or otherwise transfer Subscription Content.
- You are responsible for maintaining the security and accuracy of your DoraHacks account, and you will be charged for any Subscriptions placed on or through your DoraHacks account, including without limitation Subscriptions placed without sufficient authorization, or through mistake or error.
- You will not present any false, inaccurate or misleading information in an effort to misrepresent your location or place of residence, and you will not attempt to circumvent any restrictions on access to or availability of the Subscription Services or content available within the Subscription Services.
- Your use of the Subscription Service is limited to yourself only and is not transferable. Ultimate ownership and administration of the Subscription Service belong to DoraHacks and its group of companies.
- You will not share, buy, sell, rent, sublicense, trade, sublease, or transfer your accounts, any account details, or other credentials. Sharing any of your account information is a violation of the Subscriber Terms. You should never share your account or password details with anybody else, nor should you be hosting any hackathons or similar events on behalf of other organizations or unrelated parties. If you have any doubt about the applicable terms of use at any time, please reach out to our support team.
- You will take responsibility for all inputs, data, prompts, documents, and other information (as the case may be) transmitted or inputted into our products, including BUIDL AI 4.0, and all intellectual property and data rights over such inputs shall be owned by us, to the extent permitted under the relevant laws and regulations. We shall have access to all such inputs and we are not liable for any intellectual property or data security concerns arising from the input, to the extent permitted under the relevant laws and regulations.
1.3 Use Restrictions
You may not, at any time, use the Subscription Services for any illegal, abusive, harmful or otherwise disruptive activity. For example, you may not:
- Use our Subscription Services in a way that infringes, misappropriates or violates anyone’s rights, including illegal, corrupt or fraudulent activity that is in breach of any relevant law or regulation of any jurisdiction.
- Modify, copy, lease, sell or distribute any of our Subscription Services.
- Attempt to or assist anyone to reverse engineer, decompile or discover the source code or underlying components of our Services, including our models, algorithms, or systems.
- Automatically or programmatically extract data or Output (defined below).
- Represent that Output was human-generated when it was not.
- Interfere with or disrupt our Subscription Services, including circumvent any rate limits or restrictions or bypass any protective measures or safety mitigations we put on our Subscription Services.
- Use Output to develop models that compete with or otherwise interferes with the operations of DoraHacks.
- Use the Subscription Services for any high-risk purposes, including but not limited to medical, financial, safety-critical or other related forms of decision-making, or for training competing Artificial Intelligence models.
2. Payments and Billing.
2.1 General.
Fees. All fees and charges will be described to you when you sign-up for a Subscription Service. You agree to pay the price stated at the time of purchase, as well as any applicable taxes. You also agree to the billing frequency as stated at the time of purchase, which can include single, monthly, yearly or other billing frequencies to be determined by DoraHacks.
Taxes. If DoraHacks, in the future or otherwise, is required to collect or pay any taxes in connection with your purchase of a Subscription, such taxes will be charged to you at the time of each purchase transaction or other appropriate time as applicable. The Subscription fees will not include Value Added Tax (“VAT”) or Goods & Services Tax (“GST”). However, if applicable at any point in the future, taxes, including VAT or GST, may be collected upon purchase. Additionally, if required by law, you are responsible for reporting and paying certain taxes in connection with your purchase and use of Subscriptions. Such taxes may include duties, customs fees, or other taxes (other than income tax), along with any related penalties or interest, as applicable to your purchase or country of purchase.
Payment Methods. In order to purchase for a Subscription Service, you must provide account information for at least one valid debit or credit card or crypto wallet address or other payment method through or to the web-based platform hosted by DoraHacks on https://dorahacks.io/ (“DoraHacks Platform”), which may include Stripe, Loop Crypto, or other invoicing methods at the discretion of DoraHacks. You may receive a temporary authorization charge to validate your payment method. DoraHacks uses this payment method account information as described in our Privacy Policy. If applicable, your provision of such debit or credit card shall be subject to the terms and conditions specified by such third party. Accepted payment methods may vary based on your location. DoraHacks takes no responsibility and assumes no liability for any actions or omissions of any payment method or payment platform.
You represent and warrant that you have the legal right to use any payment method used by you in connection with any Subscription.
Currencies. All prices are in United States Dollars or another currency specified by DoraHacks at the time of purchase. The currency used to charge you for Subscription payments depends on the billing country where your payment method is located. You agree to and acknowledge that DoraHacks cannot control any currency conversion or foreign transaction fees that may be charged to you by your card issuer or bank for your Subscription payment.
Restricted Countries. There may be countries that restrict or prohibit your ability to make payments through the DoraHacks Platform. Nothing in these Subscriber Terms should be interpreted to override or circumvent any such foreign laws.
Unauthorized Charges. Without limitation of the above terms, if you believe that a problematic transaction has taken place under your account, you agree to notify us immediately, so that we may take action with reasonable commercial efforts to prevent financial loss.
Data Charges. When you use your Subscription, you may incur other additional charges from third party service providers, such as telecommunications fees or data fees. You are responsible for paying any additional charges on your end.
Paywalls. Subscribers, whether accessing our services via the website or through an issued invoice, are required to complete payment through the designated paywall on the specified network. Payment must be made in full accordance with the instructions provided. Access to any subscription services will not be granted until full payment is properly received and confirmed by us. Failure to make payment through the designated paywall or network, or any error, delay, or omission in the payment process attributable to the subscriber, shall be at the subscriber’s sole risk and expense. We shall not be responsible for any loss, delay, or denial of access resulting from incomplete, failed, or misdirected payments.
2.2 Recurring Charges and Refunds.
Recurring Charges. If you purchase an annual, quarterly, bi-monthly, or monthly Subscription (where applicable and as the case may be), you authorize DoraHacks to charge you the annual or monthly Subscription fee (where applicable) as selected by you in the course of the transaction at purchase and each year or month thereafter on the annual or monthly anniversary of the start of your Subscription, respectively, using the payment method you provided at the then-current rate. If the payment processor used to settle your applicable subscription payment does not allow for recurring payments (e.g. Loop Crypto), we will at our sole discretion waive any recurring payment feature. You acknowledge that a Subscription has recurring payment features. You accept responsibility for all recurring payment obligations prior to cancellation of your Subscription. Your Subscription continues until canceled by you in the manner set forth in Section 2.5 below or until we terminate your access to, or use of, a Subscription in accordance with these Subscriber Terms.
Refunds. All Subscription fees or other final charges are final and non-refundable, other than as determined by DoraHacks at its sole discretion on a case-by-case basis. You remain solely responsible for all applicable taxes, currency conversion charges, bank fees, or other applicable fees, except as required by applicable law.
2.3 Changes to the Price of Subscription Plans.
We may change our subscription plans and the price of our Subscription Services from time to time at our sole discretion; however, any price changes or changes to your subscription plans will apply no earlier than 30 calendar days following notice to you. If you do not wish to accept the price change or change to your subscription plan, you can cancel your subscription before the change takes effect. Different pricing tiers may also apply for the same or different user groups.
DoraHacks may at its sole discretion offer free trial Subscriptions for a specified period (“Free Trials”) for certain selected users, such as but not including to educational users, for example. If we offer you a Free Trial, specific terms will be provided at signup or any promotional materials. Unless you cancel your Subscription prior to its end, we will begin charging your payment method after the Free Trial for the applicable monthly or annual recurring Subscription fees selected by you as described in Section 2.1 above. You can cancel your Free Trial or Subscription at any time as described in Section 2.5 below. There is a strict limit of one free trial per organization.
DoraHacks may offer promotional codes from time to time at its sole discretion. Promotional codes will expire on the date provided in any promotional materials. Only one promotional code may be redeemed per account during each promotion. Promotional codes are not transferable and are not redeemable for cash.
2.5 Cancellation and Termination.
You may cancel a Subscription, including Free Trials, through your account settings at any time. The cancellation will take effect at the end of the Free Trial or the current billing cycle (the “Cancellation Effective Date”). You are responsible for all Subscription fees (plus any applicable taxes or charges) incurred before the Cancellation Effective Date. You will have access to Subscription Content until the Cancellation Effective Date.
DoraHacks may terminate your Subscription for non-payment of Subscription fees or violating these Subscriber Terms or any of our Terms of Service. If DoraHacks terminates your Subscription, your cancellation will be effective immediately, and you will not be able to access Subscription Content. For the avoidance of doubt, any such termination will still not entitle you to any refund (partial or otherwise) or other fees paid.
In the event of any Subscription cancellation, these Subscriber Terms will terminate, the Terms of Service will survive and continue to apply to your use of the DoraHacks Platform. Sections 2, 3, 4, 5 and 6 survive the expiration or termination of these Subscriber Terms.
2.6 Points System.
In general, you will not receive fixed points on a monthly or daily basis even after payment of any Subscription fees (where applicable). Points will generally be awarded after each payment—for example, if a user pays $8,000, they receive will receive 8,000 points, although any such pricing is subject to change at the sole discretion of DoraHacks. In the future, if applicable, such points may be used to unlock new product features, access promotional benefits, and other privileges such as but not including increased messaging capacity. Points can be redeemed for different benefits and use cases depending on the platform design and structure, to be determined by DoraHacks at its sole discretion. Such points systems may be amended or cancelled at any time by DoraHacks at its sole discretion.
3. Artificial Intelligence and Content Generation.
3.1 Your content.
You may provide input to the Subscription Services (“Input”), and receive output from the Subscription Services based on the Input (“Output”). Input and Output are collectively “Content.” You are responsible for Content, including ensuring that it does not violate any applicable law or these Terms. You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to our Subscription Services.
3.2 Similarity of content.
Due to the nature of our Subscription Services and artificial intelligence generally, Output may not be unique and other users may receive similar output from our Services. Any assignment of rights and title (if applicable) does not extend to other users’ output or any Third Party Output.
3.3 Use of content.
We may use Content to provide, maintain, develop, and improve our Subscription Services, comply with applicable law, enforce our terms and policies, and keep our Subscription Services safe and reliable. We hold final discretion over how such Content is used in this regard.
3.4 Accuracy and appropriateness of content.
Artificial intelligence and machine learning are rapidly evolving fields of study. We are constantly working to improve our Subscription Services to make them more accurate, reliable, safe, and beneficial. Given the probabilistic nature of machine learning, use of our Services may, in some situations, result in Output that does not accurately reflect real people, places, or facts. When you use our Subscription Services you understand and agree at all times:
- Output may not always be accurate. You should not rely on Output from our Subscription Services as a sole source of truth or factual information, or as a substitute for professional advice.
- You must evaluate Output for accuracy and appropriateness for your use case, including using human review as appropriate, before using or sharing Output from the Subscription Services.
- You must not use any Output relating to a person for any purpose that could have a legal or material impact on that person, such as making credit, educational, employment, housing, insurance, legal, medical, or other important decisions about them.
- Our Subscription Services may provide incomplete, incorrect, or potentially offensive Output that does not represent DoraHacks’ views. If Output references any third-party products or services, it doesn’t mean the third party endorses or is affiliated with DoraHacks.
- You should take note and check any Output before relying on any such content, as Output could potentially contain incorrect or missing information (e.g. inaccurate number of projects, missing sponsor information, erroneous award summaries). DoraHacks does not take any responsibility for the use of such incorrect or inaccurate information by you.
- You shall hold us harmless for any possible loss, damage, misrepresentation or any other kind of error caused by the Output. Likewise, if during your use of the Subscription Services you rely on any automation feature or any similar service that enables the platform to take actions or make decisions on your behalf (the “Automation Feature”), you acknowledge and agree that such actions are initiated based on your inputs, configurations, or prior instructions. You remain solely responsible for the outcomes and consequences of using the Automation Feature, including but not limited to any decisions made, actions taken, or content generated. We make no guarantees regarding the accuracy, legality, or suitability of the Automation Feature’s outputs or actions, and we expressly disclaim all liability arising from or related to its use. By using this feature, you agree to assume full responsibility and to indemnify, defend, and hold us harmless from any and all claims, liabilities, losses, or damages arising out of or related to your use of the Automation Feature.
3.5 IP rights.
DoraHacks and all its related parties and affiliates own all rights, title, and interest in and to the Subscription Services. Even in spite of any licenses or permission granted to use our Subscription Services (where applicable), we retain in full any intellectual property rights we have in the Subscription Services. Any infringement of the intellectual property of DoraHacks’ or its related parties and affiliates is strictly prohibited and will be subject to appropriate legal action.
3.6 Trade and export controls.
You must comply with all applicable trade laws, including sanctions and export control laws. Our Subscription Services may not be used in or for the benefit of, or exported or re-exported to (a) any U.S. embargoed country or territory or (b) any individual or entity with whom dealings are prohibited or restricted under applicable trade laws. Our Subscription Services may not be used for any end use prohibited by applicable trade laws, and your Input may not include material or information that requires a government license for release or export.
3.7 Organization Knowledge Base Content.
If your organization elects to upload, contribute, or otherwise input content into the relevant organization’s knowledge base or any similar collaborative repository in our platform (“Knowledge Base Content”), you acknowledge and agree that you are solely responsible for such content. DoraHacks does not monitor, review, validate or take any similar action with respect to any Knowledge Base Content for accuracy, legality, intellectual property rights, or confidentiality. Accordingly, you represent and warrant that you have all necessary rights, permissions, and authority to submit such content and that doing so will not violate any applicable laws or third-party rights, including but not limited to intellectual property and privacy rights. We disclaim all liability arising from or related to any Knowledge Base Content, and you agree to indemnify and hold us harmless from any claims arising from your use or submission of such content, even in its various forms.
4. Privacy and Communications.
These Subscriber Terms and our Terms of Service are subject to our Privacy Policy.
By Subscribing, you consent to receiving email communications from DoraHacks about the Subscription to your registered email address or other methods. If you no longer want to receive communications from DoraHacks, you can change your communication preferences in your DoraHacks account settings.
You agree that we may communicate with you electronically about any important information regarding your Subscription. We may also provide notices to you by posting them on our website or by sending them to an email address that you previously provided to us. Website and email notices will be considered received by you within 24 hours of the time posted or sent.
Unless stated otherwise, you must send notices to us relating to these Subscriber Terms to: legal@dorahacks.com and admin@dorahacks.com.
5. DISCLAIMERS AND LIMITATION OF LIABILITY.
IN ADDITION TO THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH IN THE TERMS OF SERVICE:
DORAHACKS RESERVES THE RIGHT TO MODIFY, SUSPEND OR DISCONTINUE SUBSCRIPTIONS, ANY SUBSCRIPTION SERVICES, SUBSCRIPTION CONTENT, OR PARTICIPATING CREATORS AT ANY TIME AND DISCLAIMS ANY LIABILITY TO YOU FOR SUCH CHANGES. DORAHACKS WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CURRENCY CONVERSION OR FOREIGN TRANSACTION FEES AS DESCRIBED IN SECTION 2.1.
PARTICIPATING CREATORS ARE SOLELY RESPONSIBLE FOR SUBSCRIPTION FEES THEY CHARGE. IF THERE IS A DISPUTE BETWEEN YOU AND A PARTICIPATING CREATOR ABOUT PAYMENTS, OR ANY OTHER ISSUE, DORAHACKS DISCLAIMS LIABILITY FOR ANY SUCH DISPUTE.
PARTICIPATING CREATORS EACH RESERVE THE RIGHT TO CHANGE THE SUBSCRIPTIONS AT ANY TIME, INCLUDING CANCELING THE SUBSCRIPTION OR REMOVING, ADDING, OR MODIFYING SUBSCRIPTION CONTENT. PARTICIPATING CREATORS MAKE NO GUARANTEE AS TO THE AVAILABILITY OF SUBSCRIPTION CONTENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DORAHACKS AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, THE “DORAHACKS PARTIES”) SHALL ALSO NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, OR REPUTATIONAL HARM, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE ANY PART OF THE DORAHACKS PLATFORM OR SERVICES.
DORAHACKS AND ITS AFFILIATES ALSO DISCLAIM ANY AND ALL LIABILITY FOR (I) UNAUTHORIZED ACCESS OR ALTERATIONS OF TRANSMISSIONS OF DATA; (II) LOSS OF DATA; OR (III) ANY INTERRUPTION, SUSPENSION OR TERMINATION OF THE SUBSCRIPTION SERVICES.
6. Indemnification.
In addition to the indemnification obligations in our Terms and Service, you will indemnify and hold us harmless for any claim, cost, or expenses (including reasonable attorneys’ fees and investigative costs) that arises from an allegation by any third party that: (a) you have committed any act (or omission) that is a violation of these Subscriber Terms; (b) you have failed to remit any taxes to the applicable governmental authority or to provide accurate information as described in Section 2.1; (c) any regulatory investigations or government enforcement actions arising out of your use of the Services.
7. Miscellaneous.
These Subscriber Terms constitute the entire agreement about your access to a Subscription and supersede any other agreement, oral or written, about this subject matter, except for any prior agreement by you to the Terms of Service. If any provision in these Subscriber Terms is found to be unenforceable, then that provision will not affect the enforceability of the remaining provisions of these Subscriber Terms, which will remain in full force and effect. In the event of any conflict between the Terms of Service and these Subscriber Terms, these Subscriber Terms will govern with respect to your use of a Subscription.
You may not modify these Subscriber Terms without written agreement from us.
We may modify these Subscriber Terms, including the Terms of Service, at any time. Unless otherwise required by law, if we amend material terms to these Subscriber Terms, we will notify you via the email address provided by you in your account to give you an opportunity to review any material changes to these Subscriber Terms before they go into effect. Your continued use of a Subscription after non-material changes, or after reasonable notice to you of any material changes to the Subscriber Terms, constitutes acceptance of those changes. If you do not agree to the amendments or to any of the terms in these Subscriber Terms, your only remedy is to cease use of and cancel your Subscription.
For the avoidance of doubt, the governing law and dispute resolution provisions for these Subscriber Terms will be the same as the section titled “Disputes and Choice of Law” in the Terms of Service.
